1. Who we are
eDocu is an online document signing and document utility service operated by Akrinum OÜ (“Akrinum”, “we”, “us”, “our”). Akrinum OÜ is registered in the Estonian Commercial Register under registration code 16014688, with registered office at Harju maakond, Tallinn, Lasnamäe linnaosa, Sepapaja tn 6, 15551, Estonia and VAT ID EE102717822. These Terms & Conditions (“Terms”) govern your access to and use of the eDocu website, web application, browser-based document tools, account features, paid features, and related services (collectively, the “Service”).
2. Acceptance of the Terms
By accessing or using the Service, uploading or selecting a file in the browser, creating a signature, downloading a document, creating an account if account functionality is available, purchasing a paid plan if offered, or otherwise interacting with eDocu, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
3. What eDocu does
eDocu provides browser-based tools that may allow you to sign PDF or image documents, add visual signatures, convert files, compress files, and use other document or text utilities. The current core signing flow is designed to run locally in your browser, so your document does not need to be uploaded to our server for basic signing and download.
eDocu is a simple document utility. It is not a notary service, legal service, qualified trust service, regulated identity verification provider, or certified e-signature platform.
4. Simple signatures and legal effect
eDocu lets you add a visual signature, typed signature, uploaded signature image, initials, or similar mark to a document. Whether such a signature is accepted or legally effective depends on the document, the parties involved, the applicable laws, and the requirements of the organisation receiving the document.
We do not guarantee that a document signed with eDocu will be legally binding, enforceable, accepted by a court, accepted by a public authority, or accepted by any third party. For important, regulated, high-value, or disputed documents, you should use a qualified or certified e-signature service and obtain independent legal advice where appropriate.
5. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using eDocu, you represent that you meet this requirement and that you have the legal capacity to agree to these Terms.
6. Your responsibilities
You are responsible for:
- ensuring that you have the right to use, edit, sign, convert, compress, or otherwise process any document or file you use with eDocu;
- checking the final document before using, sending, printing, storing, or relying on it;
- deciding whether eDocu is appropriate for your document and use case;
- keeping your device, browser, files, downloads, and account credentials secure;
- complying with all laws, regulations, contracts, and third-party rights that apply to your documents and use of the Service.
You should not use eDocu for documents that require certified identity verification, qualified electronic signatures, regulated audit trails, notarisation, long-term legal archiving, or other specialised compliance workflows unless we explicitly offer those features and confirm their scope.
7. Prohibited use
You must not use the Service to:
- forge signatures, impersonate another person, misrepresent authority, or create misleading documents;
- process documents that you are not authorised to access or modify;
- violate laws, regulations, contracts, privacy rights, intellectual property rights, or other third-party rights;
- upload, create, or distribute unlawful, harmful, fraudulent, abusive, defamatory, or malicious content;
- interfere with, overload, scrape, reverse engineer, bypass rate limits, or attempt to gain unauthorised access to the Service or our infrastructure;
- use the Service for spam, phishing, malware, credential theft, fraud, or other abusive activity.
8. Accounts and saved features
Some features may be available without an account. We may later offer account-based features, such as saved signatures, saved initials, reusable templates, document history, batch tools, company settings, or subscription management.
If you create an account, you must provide accurate information, keep your login credentials secure, and notify us if you suspect unauthorised access. You are responsible for activity under your account unless caused by our breach of these Terms or applicable law.
9. Free and paid features
eDocu may offer free features, paid subscriptions, one-time passes, trials, usage limits, file size limits, or premium features. We may change, add, remove, or limit features at any time, subject to applicable law and any specific terms shown at the time of purchase.
Prices, billing periods, included features, and renewal terms will be shown before purchase. Paid features may be processed through third-party payment providers. By purchasing a paid feature, you agree to the payment terms shown at checkout.
10. Subscriptions, cancellations, and refunds
If subscriptions are available, they may renew automatically until cancelled. You can cancel according to the instructions provided in the product or by contacting us. Cancellation usually stops the next renewal but does not automatically refund past charges unless required by law or stated otherwise at checkout.
Refund eligibility may depend on your location, consumer rights, product usage, the type of plan purchased, and applicable law. We may refuse refunds where the Service has been fully performed, substantially used, abused, or purchased in violation of these Terms, unless applicable law requires otherwise.
11. Privacy
Our processing of personal data is described in our Privacy Policy. The Privacy Policy explains how we handle visitor analytics, public tracking, browser storage, account data, payment data, support data, and other personal data related to eDocu.
12. Intellectual property
We and our licensors own all rights, title, and interest in and to the Service, including software, design, branding, interfaces, text, graphics, logos, and other materials, except for content and documents you provide.
You retain your rights in your documents, signatures, files, and content. You grant us only the limited rights necessary to provide the Service, operate technical systems, enforce these Terms, comply with law, and improve the Service as described in our Privacy Policy.
13. Third-party services and libraries
eDocu may rely on third-party services, hosting providers, payment processors, email providers, analytics systems, and open-source browser libraries. We are not responsible for third-party services outside our control, and their own terms and privacy policies may apply.
14. Availability and changes
We aim to provide a useful and reliable Service, but we do not guarantee that eDocu will always be available, uninterrupted, error-free, secure, or compatible with every device, browser, document, file type, or workflow.
We may modify, suspend, discontinue, or restrict any part of the Service at any time, including free tools, beta features, pricing, integrations, limits, or account functionality. We will try to provide reasonable notice where required by law or where changes materially affect paid users.
15. No professional advice
eDocu does not provide legal, financial, tax, compliance, accounting, or professional advice. Any information on the website is provided for general informational purposes only. You are responsible for obtaining professional advice before relying on a document, signature, workflow, or output where appropriate.
16. Disclaimers
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and security.
We do not guarantee that a document processed with eDocu will be accepted by another person, company, public authority, court, bank, employer, platform, or other recipient.
17. Limitation of liability
To the maximum extent permitted by law, Akrinum OÜ and its directors, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunities, or documents, arising out of or related to your use of the Service.
To the maximum extent permitted by law, our total liability for any claim related to the Service will not exceed the amount you paid to us for the Service in the three months before the event giving rise to the claim, or EUR 50 if you used only free features.
18. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Akrinum OÜ from claims, damages, liabilities, costs, and expenses arising from your documents, your use of the Service, your breach of these Terms, your violation of law, or your infringement of third-party rights.
19. Suspension and termination
We may suspend or terminate access to the Service if we reasonably believe that you have violated these Terms, created risk for us or others, used the Service abusively, failed to pay amounts due, or where required by law.
You may stop using the Service at any time. If account features are available, you may request account deletion by contacting us, subject to legal retention obligations and legitimate business needs.
20. Governing law and disputes
These Terms are governed by the laws of Estonia, without regard to conflict of law rules. If you are a consumer residing in the EEA, you may also benefit from mandatory consumer protection rules of your country of residence.
Courts located in Estonia will have jurisdiction over disputes arising out of or relating to these Terms, unless mandatory consumer protection law provides otherwise.
21. Changes to these Terms
We may update these Terms from time to time to reflect changes in the Service, business practices, legal requirements, or product features. When we make material changes, we will update the “Last updated” date at the top of this page and may provide additional notice where appropriate.
Your continued use of eDocu after updated Terms become effective means you accept the updated Terms.
